HEINEKEN to acquire FIFCO’s beverage and retail businesses, strengthening our presence across Central America
I am proud to announce HEINEKEN's acquisition of FIFCO’s beverage and retail businesses across Central America. This landmark acquisition of approximately US$3.2 billion, our largest acquisition in a decade, includes a leading beverage portfolio, among which Costa Rica's iconic century-old national beer Imperial, and retail assets in Costa Rica, full ownership of HEINEKEN Panama and an expanded regional footprint in Central America.
FIFCO is a Costa Rican company with over 117 years of legacy in the beverage, food, retail and hospitality sector. HEINEKEN and FIFCO have been in a long-standing partnership since 1986, a partnership grounded in decades of shared values and trust.
This acquisition is a direct enabler of our EverGreen 2030 strategy: driving premiumisation, innovation, and sustainable growth and is expected to be immediately accretive to our operating margin and EPS (beia). Through the acquisition we strengthen our exposure to attractive Central American growth markets which enjoy large and growing profit pools. The beverages categories are among the largest and fastest growing consumer categories in Central America, and the acquired portfolio is expected to deliver solid volume growth.

In terms of next steps: the completion of the transaction is subject to customary regulatory approvals and the approval by the general shareholders’ meeting of FIFCO, which will take place in October 2025. The deal has been approved unanimously by the board of directors of FIFCO, which includes representatives of FIFCO's key shareholders.
