Beneficial Owner Disclosure

Effective 1/1/26, non-exempt LLCs formed under the law of a foreign country and authorized to do business in NYS, will be required to file with the DOS initial and annual disclosure statements that provide the names and other identifying information of individuals that own/control the LLC.

File Your Biennial Statement

Domestic/foreign business corporations and domestic and foreign limited liability companies are required to file a Biennial Statement every two years with the Department of State.

The filing period is the calendar month in which the original Certificate of Incorporation, Articles of Organization, or Application for Authority was filed.

Failure to file a Biennial Statement may prevent a corporation or LLC from completing certain business transactions.
